ZoningLogic provides AI-powered analysis tools and information, NOT legal advice or professional services.Our Service uses artificial intelligence that may produce inaccurate, incomplete, or erroneous results. AI outputs are probabilistic and should never be relied upon as the sole basis for any decision. Always consult with qualified professionals (lawyers licensed in Canada, architects, engineers, municipal zoning officials) before making critical decisions. 1. Agreement to Terms
By accessing or using ZoningLogic ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.
2. Description of Service
ZoningLogic is an AI-powered software platform that provides zoning feasibility analysis, 3D building envelope visualization, unit count calculations, overlay detection, and automated feasibility report generation tools. The Service is designed to assist users in understanding zoning regulations and building potential for properties. It is an informational research tool, not a professional service.
Beta Phase: The Service is currently in beta phase. Features, functionality, and availability may change without notice. We make no guarantees about Service availability, accuracy, or completeness during beta. The underlying AI models may be updated or changed, which may affect output consistency.
3. Not a Regulated Professional Service
ZONINGLOGIC IS A SOFTWARE TOOL, NOT A REGULATED PROFESSIONAL SERVICE
Our Service does not constitute, and should not be construed as, the practice of law, architecture, engineering, professional planning, land surveying, or any other regulated profession in any Canadian province or territory.
ZoningLogic is not licensed, registered, or regulated by any professional regulatory body, including but not limited to the Law Society of Ontario, the Ontario Association of Architects, Professional Engineers Ontario, the Ontario Professional Planners Institute, or their equivalents in any other province or territory.
Our feasibility reports are not substitutes for professional planning reports, planning opinions, legal opinions, or engineering assessments. They should not be submitted to municipal authorities as professional reports or relied upon as the sole basis for development applications, permit submissions, or property transactions.
4. User Accounts and Registration
To access certain features of the Service, you may be required to create an account. You agree to:
- • Provide accurate, current, and complete information during registration
- • Maintain and update your account information to keep it accurate
- • Maintain the security of your account credentials
- • Accept responsibility for all activities that occur under your account
- • Notify us immediately of any unauthorized use of your account
You are responsible for maintaining the confidentiality of your account credentials. We are not liable for any loss or damage arising from your failure to protect your account information.
5. Acceptable Use
You agree not to:
- • Use the Service for any illegal purpose or in violation of any laws
- • Violate or infringe upon the rights of others, including intellectual property rights
- • Transmit any harmful code, viruses, or malicious software
- • Attempt to gain unauthorized access to the Service or related systems
- • Interfere with or disrupt the Service or servers connected to the Service
- • Use automated systems (bots, scrapers) to access the Service without permission
- • Reproduce, duplicate, copy, or resell any portion of the Service
- • Use the Service to compete with or harm our business
- • Misrepresent your identity or affiliation with any person or entity
- • Present AI-generated outputs as professional opinions, certified reports, or official determinations
We reserve the right to investigate violations of these Terms and may involve law enforcement authorities when appropriate.
6. Beta Phase Terms
During the beta phase, the Service is provided "as-is" and "as-available" with no warranties or guarantees. You acknowledge that:
- • The Service may contain errors, bugs, or incomplete features
- • Features may be added, modified, or removed without notice
- • Service availability is not guaranteed and may be interrupted
- • Regional coverage is limited and may not include your area
- • Data accuracy is not guaranteed and results should be independently verified
- • The Service may be free during beta, but pricing may change
- • AI models used by the Service may be updated, changed, or replaced, which may affect the consistency or accuracy of outputs
By using the Service during beta, you agree to provide feedback and report issues to help us improve the platform, and you acknowledge the heightened risk of inaccuracies inherent in pre-release software.
7. Intellectual Property Rights
The Service, including all content, features, functionality, software, and materials, is owned by ZoningLogic and protected by copyright, trademark, and other intellectual property laws.
Our Rights: We retain all rights, title, and interest in and to the Service. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.
Your Content:You retain ownership of any data, information, or content you submit to the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, and process your User Content solely to provide and improve the Service. Your data is not used to train AI models (see our Privacy Policy).
Feedback: Any feedback, suggestions, or ideas you provide about the Service may be used by us without obligation or compensation to you.
8. Disclaimers and AI Limitations

It does NOT constitute legal advice, architectural advice, engineering advice, professional planning advice, financial advice, or any other professional advice. Service Provided "As-Is":THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, TIMELINESS, RELIABILITY, OR NON-INFRINGEMENT. ZONINGLOGIC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
No Guarantee of Accuracy: ZONINGLOGIC DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY INFORMATION, ANALYSIS, REPORT, VISUALIZATION, CALCULATION, OR OTHER OUTPUT PROVIDED THROUGH THE SERVICE. We do not guarantee the accuracy, completeness, or reliability of any information provided through the Service.
Third-Party Data: The Service may incorporate data from third-party sources. We are not responsible for the accuracy or completeness of such third-party data.
AI System Limitations and Risks
Our Service uses artificial intelligence, including large language models (LLMs) and multi-agent orchestration systems, to analyze zoning regulations and generate results. You acknowledge and agree that:
- • AI outputs are probabilistic, not deterministic. The same query may produce different results at different times. Outputs represent the AI system's best assessment, not verified facts.
- • AI may hallucinate — generating information that appears plausible but is factually incorrect, including citing non-existent bylaws, generating incorrect calculations, or fabricating regulatory requirements.
- • AI may misinterpret complex, ambiguous, or nuanced zoning regulations that require professional judgment and contextual understanding.
- • Data may be stale — zoning bylaws, official plans, and regulatory frameworks are frequently updated, and our Service may not reflect the most recent amendments or changes.
- • AI may miss relevant restrictions including pending bylaw amendments, conservation easements, heritage designations, environmental restrictions, or site-specific conditions.
- • Confidence indicators are estimates — any confidence levels, certainty scores, or quality ratings provided are approximations and should not be treated as guarantees of accuracy.
- • AI models may change — underlying AI models may be updated or replaced, potentially affecting the consistency of outputs over time.
You agree not to hold ZoningLogic liable for errors, omissions, inaccuracies, or hallucinations in AI-generated analysis, reports, visualizations, calculations, or recommendations.
9. No Reliance
You acknowledge and agree that:
- (a) You will not rely solely on the Service for any decision related to property purchase, development, construction, investment, permit applications, or any other material financial or legal decision;
- (b) All outputs, analyses, reports, visualizations, calculations, and recommendations generated by the Service are preliminary in nature and require independent verification by qualified, licensed professionals;
- (c) The Service is an informational tool that supplements, but does not replace, professional consultation with lawyers, architects, engineers, planners, and municipal officials;
- (d) ZoningLogic makes no representation that its outputs are complete, accurate, current, or suitable for any particular purpose;
- (e) You assume all risk and responsibility for decisions made using information obtained from the Service; and
- (f) Final determinations regarding zoning compliance, permitted uses, building permits, and development approvals rest exclusively with the applicable municipal and provincial authorities, not with ZoningLogic.
10. Feasibility Reports
The feasibility reports generated by our Service are preliminary informational summaries produced by AI systems. They are NOT:
- • Professional planning reports as defined under any provincial Planning Act
- • Legal opinions or legal advice
- • Architectural or engineering assessments
- • Binding determinations of what may or may not be built on a property
- • Substitutes for pre-application consultation with municipal planning departments
- • Guarantees of municipal approval, permit issuance, or development viability
- • Permit applications or submissions to any authority
Feasibility reports are generated by AI systems processing publicly available data and may contain errors, omissions, or outdated information. Users must independently verify all information in feasibility reports with qualified professionals and official municipal sources before taking any action.
A positive feasibility assessment does not constitute approval, endorsement, or recommendation by ZoningLogic or any governmental authority. It is a preliminary AI-generated analysis that requires professional verification.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZONINGLOGIC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- • Loss of profits, revenue, data, or business opportunities
- • Property damage or financial losses
- • Costs of substitute services
- • Decisions made based on Service results or AI-generated outputs
- • Property purchases, development decisions, or investments based on Service outputs
- • Permit application outcomes or municipal decisions
- • Errors, inaccuracies, or hallucinations in AI-generated content
AI-Specific Exclusion: Without limiting the foregoing, ZoningLogic shall not be liable for any losses, damages, or costs arising from your reliance on AI-generated outputs, analysis results, feasibility reports, building envelope calculations, unit count estimates, overlay detection results, or any other information produced by the Service. You acknowledge that all such outputs require independent verification by qualified professionals.
Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or one hundred Canadian dollars (CAD $100), whichever is greater.
Some jurisdictions, including certain Canadian provinces, do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by applicable law, including applicable consumer protection legislation.
12. Indemnification
You agree to indemnify, defend, and hold harmless ZoningLogic and its affiliates, officers, employees, agents, and licensors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees and disbursements) arising from:
- • Your use of the Service
- • Your violation of these Terms
- • Your violation of any rights of another party
- • Your User Content
- • Decisions you make based on Service outputs, including but not limited to property purchases, development decisions, permit applications, or financial commitments, where you failed to obtain independent professional verification of Service outputs
- • Your presentation of AI-generated outputs as professional opinions, certified reports, or official determinations
13. Termination
By You: You may stop using the Service at any time. You may also request deletion of your account by contacting us.
By Us: We may suspend or terminate your access to the Service at any time, with or without cause or notice, for any reason, including if you violate these Terms.
Upon termination, your right to use the Service will immediately cease. We may delete your account and data in accordance with our data retention policy, though we may retain certain information as required by law or for legitimate business purposes.
The following sections survive termination: Sections 3 (Not a Regulated Professional Service), 7 (Intellectual Property), 8 (Disclaimers and AI Limitations), 9 (No Reliance), 10 (Feasibility Reports), 11 (Limitation of Liability), 12 (Indemnification), 14 (Governing Law), and 16 (Miscellaneous).
14. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of law provisions. While our Service is currently available in Ontario and we plan to expand to other provinces in the future, these Terms are governed by Ontario law regardless of where you access the Service.
Any disputes arising from or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the ADR Institute of Canada, Inc., except where prohibited by law. The arbitration shall be conducted in Kitchener, Ontario, Canada (or such other location as mutually agreed), in the English language.
You agree to waive any right to a jury trial and to participate in class action lawsuits, except where such waiver is prohibited by applicable law.
If any provision of these Terms is found to be unenforceable or invalid under applicable law, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it shall be severed from these Terms, and the remaining provisions shall continue in full force and effect.
15. Force Majeure
We shall not be liable for any failure or delay in performance under these Terms which is due to circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, network or infrastructure failures, third-party service provider failures (including AI model provider outages), or any other cause beyond our reasonable control.
In the event of such circumstances, we will use reasonable efforts to notify you and resume performance as soon as practicable.
16. Miscellaneous
Entire Agreement: These Terms, together with our Privacy Policy and Legal Disclaimer, constitute the entire agreement between you and ZoningLogic regarding the Service.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.
Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
No Third-Party Beneficiaries: These Terms are for the benefit of you and ZoningLogic only. No third party shall have any right to enforce any provision of these Terms.
Consumer Protection: Some provisions of these Terms may not apply in jurisdictions where limitations on liability or warranty exclusions are restricted by consumer protection laws. In such cases, our liability shall be limited to the maximum extent permitted by applicable law.
